Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the website at sohonetwork.ca and the services provided by SOHONETWORK CANADA Inc. (“SOHONETWORK”, “we”, “us”, or “our”). By using our website or Services, you agree to these Terms. If you do not agree, please do not use them.

1. Agreement to Terms

These Terms apply to all visitors and clients. For managed clients, they are supplemented by a signed Master Services Agreement (MSA) and Service Level Agreement (SLA); where those agreements conflict with these Terms, the MSA and SLA control for that client.

2. Definitions

  • “Services” means the Managed IT, hosting, security monitoring, patch management, backup, network, smart-home, and web-design services we offer.
  • “Client” means a person or business that engages us for Services.
  • “Content” means data, files, websites, and materials you provide or host through the Services.

3. The Services

We provide the Services described on our website and in your applicable order, quote, or agreement. We may improve, modify, or discontinue features from time to time. Specific scope, deliverables, and pricing for managed engagements are set out in your order or MSA/SLA.

4. Accounts & Registration

Some Services require an account or access to a client portal. You are responsible for keeping your credentials secure and for all activity under your account. Notify us promptly of any unauthorized use. You agree to provide accurate information and to keep it up to date.

5. Fees, Billing & Payment

Fees are as set out in your order, quote, or agreement. Recurring Services (such as hosting and managed plans) are billed on a recurring basis and are payable in advance unless stated otherwise. Card payments are processed by Stripe. Late or failed payments may result in suspension of Services after reasonable notice. Unless required by law, fees are non-refundable once the applicable service period has begun.

6. Client Responsibilities

  • Provide accurate information and the access we reasonably need to deliver the Services.
  • Use the Services lawfully and in line with the Acceptable Use section below.
  • Maintain your own licences for software you ask us to install or manage.
  • Independently verify the integrity of backups where practical. While we use industry-standard automation and encryption, we cannot guarantee recovery of data that was corrupted or compromised before a backup was taken.

7. Acceptable Use

You agree not to use the Services to:

  • violate any law or infringe the rights of others;
  • host or distribute malware, illegal content, or unsolicited bulk email (spam);
  • attempt to gain unauthorized access to systems, networks, or data;
  • interfere with or disrupt the integrity or performance of the Services or others’ use of them.

We may suspend or remove Content or Services that breach this section, where feasible with notice.

8. Service Levels & Support

We target 99.5% monthly uptime on managed and monitored Services. Standard support is provided Monday to Friday, 9:00 AM–5:00 PM Pacific Time; issues raised outside those hours are handled on a best-effort basis. Specific response times, remedies, and any service credits for managed clients are defined in the applicable SLA. We are not responsible for downtime or issues caused by factors outside our reasonable control, including upstream providers, third-party platforms, hardware failures, or security incidents.

9. Third-Party Services

The Services rely on third-party providers (for example, Stripe for payments, Cloudflare and our hosting partners for infrastructure, the xCloud platform for cloud servers, and Brevo for email). Your use of those components may be subject to the third party’s own terms, and their availability is outside our control.

10. Intellectual Property

The website, our branding, and our original materials are owned by SOHONETWORK and protected by applicable laws. You retain ownership of your Content; you grant us the limited rights needed to host and service it. You may not copy, resell, or create derivative works from our proprietary materials without permission.

11. Disclaimers

Except as expressly stated in a signed agreement, the Services and website are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

12. Limitation of Liability

To the fullest extent permitted by law, SOHONETWORK will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business, arising from or relating to the Services. Our total aggregate liability for any claim will not exceed the amount you paid us for the affected Service in the three (3) months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

13. Indemnification

You agree to indemnify and hold harmless SOHONETWORK from claims, losses, and expenses (including reasonable legal fees) arising from your Content, your use of the Services, or your breach of these Terms or applicable law.

14. Term & Termination

These Terms apply while you use the website or Services. Either party may terminate a service engagement in accordance with the applicable order or MSA. We may suspend or terminate access for material breach, non-payment, or misuse. On termination, we will make reasonable efforts to help you retrieve your Content, subject to any outstanding amounts owed.

15. Changes to Terms

We may update these Terms from time to time. The “Last updated” date reflects the latest revision. Material changes will be posted here and, where appropriate, communicated to clients. Continued use of the Services after changes take effect constitutes acceptance.

16. Governing Law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. The courts of British Columbia will have exclusive jurisdiction, subject to any dispute-resolution terms in a signed agreement.
